Commercial property due diligence for investors in KZN

What does a commercial property lawyer cost in KZN? If you are working out what a commercial property lawyer costs in KZN, start with the first conversation, which costs nothing. Everything after that is scoped and quoted before you decide to go ahead. Commercial deals are bigger and less predictable than residential ones, so a vague “it depends” answer from a law firm is common and unhelpful. This article explains what is free, how commercial work is priced and what you actually pay for, so you can compare options and avoid being surprised by a bill.

What does a commercial property lawyer cost in KZN? Is the initial consultation free?

Yes. Your first consultation with me is free, confidential and without obligation. It lasts around 30 minutes and can be done at my offices in Gillitts or Salt Rock, or remotely by phone or video. You pay nothing for the first conversation, and there is no pressure to instruct him afterwards.

In a commercial matter the consultation is used to pin down the shape of the deal. Gordon will usually ask about:

  • What you are buying, selling, leasing or developing, and where you are in the process.
  • The documents you already hold, such as an offer, heads of terms, a lease, a developer contract or a sale agreement.
  • The deadlines you are working to, including finance and any conditions.
  • Who is on the other side and who else is advising you.

From that I can tell you where the main risks sit and which pieces of work would help. Some people leave the call with what they need. Others ask for a quote. The wider description of what the free call covers is in free property lawyer consultation in KZN: what do you get.

How is commercial work priced?

The principle is that you know the cost before you commit. Commercial work is not a single product, so the price depends on what you need. In practice it works like this.

  • Scope first. After the free consultation, the work you actually need is agreed and described. A review of one lease is a different job from a due diligence on a building with twelve tenants, and the quote reflects that.
  • A written quote before work starts. You receive the cost for that scope and decide whether to proceed. Nothing begins until you say yes.
  • Larger matters can be staged. A complex deal can be split into stages, such as review, negotiation and then transfer oversight, with the cost of each stage clear in advance.
  • Changes are discussed before they are charged. If the deal changes or the work grows, you are told and a new quote follows before more work is done.

What drives the price is not mysterious. The size and number of documents, the number of parties, how much negotiation is needed, how complex the finance and security structure is, and how tight the deadline is all matter. The same factors apply to the work outlined on the commercial property lawyer services page, which includes off-plan contract review, retail and commercial sales, investor and development mandates, suspensive conditions and due diligence.

For residential work the same approach applies. I have sets it out in what does a property lawyer cost before you list or offer.

What do you actually pay for?

A commercial bill is made up of different kinds of cost, and it helps to keep them apart.

  • Legal work. The attorney’s time and expertise for the scope you agreed. This might be a lease or agreement review, negotiation, due diligence, advice on financing and security, drafting amendments, or oversight of the transfer. See what legal oversight you need for a commercial property purchase in KZN for how those pieces fit.
  • Conveyancing fees, where the transfer itself is part of the work. These follow the Law Society’s guideline tariff, which is based on the purchase price, plus disbursements.
  • Disbursements. Deeds Registry fees, searches, FICA and similar costs paid to third parties. They are shown as their own line.
  • Taxes. A commercial sale is subject to either VAT or transfer duty, not both, as SARS explains. These are not lawyer’s fees, and they can be the largest cash item at registration. See transfer duty for the current rules.
  • Other advisers. Valuers, surveyors, engineers and tax advisers are separate, and a good attorney will tell you when you need one.

It also helps to weigh the cost against what is at stake. A commercial lease or sale agreement sets obligations that run for years or involve large sums, and a clause missed in review can cost many times the fee for finding it. I work for one party only per transaction, and serve clients across the Upper Highway and the North Coast. If you want to compare attorneys, the Law Society of South Africa publishes general information on fees, and registration of transfers takes place at the Deeds Registry.
